Terms of Agreement.
Welcome to TPS’s Malaysian service, operated in Malaysia by ANS Group Services PLT. When you use our website to place an order with us, these Terms and Conditions of Business will constitute a legally binding agreement between you and us. It is your responsibility to carefully read these Terms and Conditions of Business before using this website. Your use of the theprintingshop.co website is contingent upon your acceptance of our Privacy Policy and the following Terms and Conditions of Business. (“TPS Policies”). Use of the theprintingshop.co website will be considered acceptance of the TPS Policies. If you do not agree to the TPS Policies, then you may not use the theprintingshop.co website. Please note that theprintingshop.co has the right to modify the TPS Policies and, thus, you should review them periodically.
1. Definitions
“Seller” means ANS Group Services PLT and its affiliate(s). “Buyer” means the person whose name is printed on the Order. “Contract” means the order and Order Confirmation (incorporating any Special Conditions) “Goods” means the goods or services which the Seller is to sell in accordance with these Terms and Conditions of Business. “Order” means the Buyer’s order for Goods or services. “Order Confirmation” means the Seller’s Order confirmation pursuant to Section 4. “Price” means the price together with postage and packing in force at the date and time of the Order, subject to any promotional offer or discount then applicable. “Person” means any person, firm or company. “Special Conditions” any conditions in relation to Orders set out and designated as such in the Order Confirmation. “Terms and Conditions of Business” means the standard terms and conditions of business set out in this document. “Writing” includes, other than for the purpose of Section 9, email clearly bearing the names of the sender and the recipient and writing on the screen of a visual display unit or other similar device.
2. Acceptance of Terms
2.1. By using the Website and engaging the Company’s printing services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.
2.2. If you are using the Website and the services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement.
3. Printing Services
3.1. The Company and its affiliate(s) offers printing services, including but not limited to digital printing, offset printing, and other related services, as described on the Website.
3.2. The Company reserves the right to refuse any printing request that it deems inappropriate, unlawful, or in violation of intellectual property rights.
3.3 Goods supplied may therefore differ as a consequence of multi-standard color systems, notably the international screen based color system of RGB and the print color system used by TPS. The Seller endeavours to display and describe as accurately as possible the printed colors of the Goods which appear on its website, but cannot undertake to give any assurance that the colors of Goods supplied will exactly match those displayed on the Buyer’s monitor.
4. Ordering Process
4.1. To place a printing order, you must provide accurate and complete information, including the type of printing, quantity, specifications, and any necessary files or artwork.
4.2. The Company may provide you with a quote for the printing services based on the information provided. The quote is subject to change until the order is confirmed by the Company.
4.3. Once you confirm the order and make the required payment, the Company will proceed with the printing job.
5. Payment and Fees
5.1. The prices for the printing services are displayed on the Website and are subject to change without prior notice.
5.2. You agree to pay all fees associated with your printing order, including any applicable taxes and shipping charges.
5.3. The Company accepts various payment methods as specified on the Website.
6. Order Approval and Modifications
6.1. Prior to printing, the Company and its affiliates may provide you with a proof or sample of the printing job for your review and approval. It is your responsibility to carefully review the proof and notify the Company of any desired modifications or corrections.
6.2. Once you approve the proof, the Company and its affiliates will proceed with the printing job, and no further changes can be made. The Company shall not be responsible for any errors or omissions in the final printed materials that were approved by you
7. Delivery and Shipping
7.1. The Company will make reasonable efforts to deliver the printed materials within the agreed time frame. However, delivery dates are estimates and not guaranteed.
7.2. The Company shall not be liable for any delays, damages, or losses arising from shipping or delivery, including but not limited to those caused by third-party shipping carriers or unforeseen circumstances.
8. Intellectual Property
8.1. You represent and warrant that you have the necessary rights, licenses, or permissions to reproduce any content, logos, images, or designs you submit for printing.
8.2. The Company does not claim ownership of the content you provide for printing. However, by using the Company’s services, you grant the Company a non-exclusive, worldwide, royalty-free license to reproduce, modify, and distribute the content solely for the purpose of fulfilling your printing order.
9. Prohibited Content
9.1. We uphold certain values in our operations, and as such, we are unable to print content that depicts or promotes alcohol or other materials that violate local laws, promote hate, discrimination, or violence. We kindly request that all clients respect these guidelines.
10. Limitation of Liability
10.1. The Company shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with the use of the Website or the printing services, including but not limited to loss of profits, data, or business opportunities.
10.2. The total liability of the Company, regardless of the cause of action, shall be limited to the amount paid by you for the printing services giving rise to the claim.
11. Indemnification
11.1. You agree to indemnify, defend and hold harmless ANS Group Services PLT and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party
12. Modification and Termination
12.1. The Company reserves the right to modify or terminate the Website or the printing services, in whole or in part, at any time without prior notice.
12.2. The Company may also modify this Agreement at its discretion. Any changes to this Agreement will be effective immediately upon posting on the Website. Your continued use of the Website and the services after any such changes constitutes your acceptance of the modified Agreement.
13. Governing Law and Jurisdiction
13.1 These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Malaysia.
14. Severability
14.1. In the event that any provision of these Terms of Agreement is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
15. Entire Agreement
15.1. The failure of us to exercise or enforce any right or provision of these Terms of Agreement shall not constitute a waiver of such right or provision. These Terms of Agreement and any policies or operating rules posted by us on this site or in respect to The Agreement constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Agreement).
Any ambiguities in the interpretation of these Terms of Agreement shall not be construed against the drafting party.
